This Website User Agreement ("Agreement") governs your use of Richie’s Chicken & Soul, operated by Richie’s Enterprises, LLC (“RCS”). ("we," "us," or "our") located at https://www.richieschickenandsoul.com ("the Site"). By accessing, browsing, or using the Site, you agree to comply with and be bound by the following terms and conditions ("Terms"). If you do not agree with these Terms, please do not use the Site.
1. Acceptance of Terms
By accessing and using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. We reserve the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting. Your continued use of the Site after changes to the Terms signifies your acceptance of the new terms.

5. Intellectual Property

5.2. Trademarks
All trademarks, service marks, and logos displayed on the Site are the property of RCS or their respective owners. You are not permitted to use these marks without prior written consent from RCS or the respective owner.
6. User Content
6.1. Submissions
You may have the opportunity to submit, post, or upload content (such as reviews, comments, photos, etc.) to the Site ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, modify, publish, translate, distribute, and display such content in any media.
6.2. Responsibility for Content
You are solely responsible for the content you post. You agree not to post or submit any content that:
Is defamatory, abusive, offensive, or illegal.
Violates any third-party rights, including but not limited to intellectual property rights.
Contains harmful software, viruses, or malicious code. We reserve the right to remove any content that we determine to violate these Terms or is otherwise inappropriate.

We are not responsible for the content, privacy policies, or practices of any third-party websites. 8. Disclaimers
8.1. No Warranty
The Site and all content and services provided on the Site are offered on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. We do not guarantee that the Site will be available at all times or that it will be free from errors, viruses, or harmful components.
8.2. Limitation of Liability
To the fullest extent permitted by law, RCS shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Site, even if we have been advised of the possibility of such damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless RCS, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorney's fees, arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
We may suspend or terminate your access to the Site, without notice, for any reason, including but not limited to your violation of these Terms. Upon termination, your right to use the Site will immediately cease.
11. Governing Law
This Agreement and any disputes arising out of or related to it will be governed by and construed in accordance with the laws of the State of Ohio of the United States of America, without regard to its conflict of law principles.
12. Dispute Resolution
In the event of any dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through informal negotiations. If the dispute is not resolved within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association, and the decision of the arbitrator shall be final and binding.
13. Miscellaneous
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Entire Agreement: These Terms constitute the entire agreement between you and RCS regarding your use of the Site and supersede any prior agreements or understandings.
